Lightly sand to remove any shine and roughen the surface for paint. Prime with a good stain blocking primer like Zinsser 123. Then paint with your color. If the paneling has grooves you can fill them with drywall patching compound.
Aww, that's what I was gonna say. One more thought though, make sure it's securely fastened to the wall. I didn't and I had to go back and add a few nails.
