What you need to do is first seal up the original seams so they don't pop open after the new paper is applied. Do this by using a good quality spackle and then sand smooth. Next (and this is important!), do NOT apply the new wall paper with the new seams directly over the old ones. Otherwise, the two layers may start to peel together and you have a real mess.

You can prep old wallpaper as Fiddledd224 describes then prime and paint. I did this to a house I lived in years ago and it turned out great! Use a good stain blocking, bonding primer first. This will help cover any wallpaper pattern and also if the wallpaper is vinyl, it will provide good adhesion for the paint. You can also cover the wall with fabric soaked in StayFlo liquid starch and smooth the fabric onto the wall. It will stay in place but can easily be removed. There are also โ€œrepositional wallpapers available in many patterns.

There is a product called Gripper in the paint department at Home Depot. It comes in light and dark. I used it to cover wallpaper, and then I painted over it when it dried. My walls look great!

I was in a hurry and on a budget and painted over wall paper in a small room, and it wasn't bad.
