Shade is the enemy of grass ... best option is a shade loving ground cover that doesn't need mowing; and as far as the 'brown spots' .. could be a variety of things ... from dog urine to a fungus to insect damage --- contact your local Agricultural Agent and discuss with them-- if it's a serious issue you would want to do a soil test -- many are at no cost or at least very inexpensive --
Depending on your area, there are a variety of low growing ground covers for shady areas ... again, check with your Ag Agent, or a local greenhouse ( not a big box store )
What kind of tree is it?
If pine, nothing much will grow due to the needles preventing that.
If other, then a shade grass seed from your local nursery should do the trick.
