You don't have to take it up, but if it's warped at all or curling, you probably want to. If not, I'd leave it as-is and just paint over it to refresh it.
You can put a thin layer of luan down and put new flooring on top of that.
You can safely lay vinyl over another layer of vinyl flooring as long as it's not lifted anywhere. You cannot put any flooring over laminate flooring, or at least I wouldn't. If you can pull up the laminate floor without damaging the flooring underneath it (ours was glued down in our kitchen) you could put vinyl down as long as the surface is smooth. If there's any old glue or raised areas it will show when the new surface is put on top.
