First you need to clean it well - TSP is a good choice. Scuff the paneling with fine sandpaper. This gives it a little 'tooth' for the paint to stick. Give it 2 coats of a good stain-blocking primer - following directions on the can. Then you paint. Here's a link with more details:
I painted paneling in several of our bedrooms. First clean the wall well. Then use a coat of primer (or 2 if needed), and finally paint your color using a good latex paint. If you have grooves that you want to eliminate, you can fill them with Spackle then sand them smooth. Use a damp sponge to do final feathering if needed. Clean all of the dust off the wall. Once it all drys and it looks the way you want, you can paint as mentioned above. I did 1 where I filled in the grooves and 1 where I didn't. They both turned out great. Wishing you the best.

If the paneling has grooves you can fill them with non shrink drywall patching compound. Just put on enough to fill the grooves. Let it dry overnight. Next day use a damp sponge to smooth the patch. Then prime and paint.

We are quite pleased the previous homeowner placed paneling over natural cedar logs in two bedrooms and painted it a light color. I would suggest not to hesitate to your paint paneling for a room brightening update. Our paneling grooves are not filled and I feel its a huge improvement.

Most paint stores will tint it close to matching the paint color you want, saving you paint and money. Remember that the glossier the paint, the more light will reflect off of imperfections.
