Take up the tile, clean the underlayment then lay the vinyl.
If you do not take up the tile, or put a stiff underlayment on top of the tile, the vinyl will eventually settle and the shape of the tiles will show.
There is nothing better then ceramic floor for the bathroom .. I wouldnt replace it
