Why are you putting plywood on the ceiling?
I've never done it, but if it's like most wood finish work, I'd fill the nail holes with wood putty, sand the surface, and then stain.
That may be a little heavy for a ceiling. They make lighter plywood. But, I would totally paint it to look like shiplap
I like the stained wood idea. Especially. If there is natural light such. As window. And matching stain trim. Then varnish. Or gloss the ceiling. The more light the darker. The stain. Gloves rag or sponge.
