Call a paint store or Homedepot or Lowe's, ask for the paint department for some help
I painted over paneling by first dusting and cleaning the walls, patching any damages or nail holes with putty, lighly sanding any spots that looked troublesome, then using a good latex primer, followed by a coat of good quality paint. I didn't try to change the paneling "look" -- I left all the vertical lines.
When finished, the room looked really nice and bright, and you couldn't tell that it had been cheap 60s-style paneling in an ugly wood tone.
Satin finish...........
Paneling in a bathroom, I would clean with TSP. Then lightly sand. Clean again to get the dust off. When you go to buy paint, get primer and paint that holds up well to the moisture of a bathroom. I even get the mildew prevention additive, for painting bathrooms.
