Sand, prime and repaint.
You start with cleaning it, then a good coat of primer. Then go to town with your new stuff!

i bought a place that had paneled walls painted a flat color. I got a semi gloss and painted straight over it. No problems. Good luck.
Whatever paint you use, I learned to use a brush first to cut in AND to paint all the grooves. Then go over the whole thing with a roller. Trying to roll into the grooves was a mess. Rolling first and then brushing the grooves left brush marks. Brushing first and then rolling worked like a charm.
