I depends on how smooth the floor is that you are laying it on. Some underlays help cushion the floor to help keep the vinyl from getting pierced from shoes or things being dropped on it.

If the floor is solid, level, and smooth you can lay vinyl flooring over it. If your sheet vinyl is not glued down remove it and check the stability of the subfloor. You may need to put down thin underlayment to smooth and level it.
