What kind of damage? The old floor must be clean, smooth, and level.
You probably need to install a new subfloor since wood-look vinyl will show anything that is textured underneath.

You certainly can. Depending upon the current damage to the wood floor, that may need to be repaired first.....so the floor is very level, etc. before applying the vinyl.
