How do I replace old tile in an old bathroom?

We live in a older home and there is tile on the walls well the tiles are falling away from the wall and whatever board that is behind it is now wet.

figure out the water issue first-water can do a lot of damage. pipe in a wall spring a leak? rain from a leaky roof? get a consult by well vetted contractors- at least 3.
It sounds like more than just the tiles will need to be replaced because you can't have wet drywall and particleboard, but here are some videos on replacing tile:

You will have to do a demolition and remove the wallboard. Replace it with cement board. Retile or repaint. Tiling is really easy. People are afraid of the job. If you don't have any experience try the 12 x 12 squares that are on a mesh sheet. So easy to put on, all you really have to worry about it keeping the tile straight.
I would take a good photo of the area to the home improvement store and let them determine the best "fix" for you. They will show you the right underlayment, tiles and application products to do it right. (They can also cut the wall board for you in the exact size you need so you don't have to do this at home - and probably for free!)
