First you need to clean it well - TSP is a good choice. Scuff the paneling with fine sandpaper. This gives it a little 'tooth' for the paint to stick. Give it 2 coats of a good stain-blocking primer - following directions on the can. Then you paint. Here's a link with more details:

I painted paneling in several of our bedrooms. First clean the wall well. Then use a coat of primer (or 2 if needed), and finally paint your color using a good latex paint. If you have grooves that you want to eliminate, you can fill them with Spackle then sand them smooth. Use a damp sponge to do final feathering if needed. Clean all of the dust off the wall. Once it all drys and it looks the way you want, you can paint as mentioned above. I did 1 where I filled in the grooves and 1 where I didn't. They both turned out great. Wishing you the best.

Prime the paneling with a latex, stain-blocking primer. For even coverage, we recommend having your primer tinted with colorant similar to the finished paint. Once the primer has dried, finish it with two coats of latex wall paint.

Make sure the paneling is clean and dry. Prime with a good stain blocking primer like Kilz. Then paint like painting regular walls. Acrylic latex paint will work. If the paneling has grooves you can fill them with non shrink drywall patching compound. Just put on enough to fill the grooves. Let it dry overnight. Next day use a damp sponge to smooth the patch. Then prime and paint.

Most panel I have seen has grooves, to paint over it and make it look like drywall you'll have to fill in the grooves, here's how:

I have used a roller it covers very well just pretend it’s a wall same thing .
Linda: I merely cleaned the paneling with Windex... then primed... then two coats of a good lates paint. Here's my paneled wall... to the viewer's left of the fireplace!
Proper prep can yield a successful job. After walls are clean —prime and paint.
We have a log cabin and too much wood is dark and dreary.
We are quite pleased the previous homeowner placed paneling over natural cedar logs in two bedrooms and painted it a light color. I would suggest not to hesitate to your paint paneling for a room brightening update. Our paneling grooves are not filled and I feel its a huge improvement.

Everything You Ever Wanted to Know About Painting Wood Paneling
We bought an old home that had cheap paneling in every room. We calked all the cracks in one room and painted it with aroma-free Kilz primer, then painted it as we would any wall. It truly covered the paneling! Other addidtional accessories you might consider are wallpaper border at the top or wooden batten and boards with wood capped at the top with a molded plate rail.
I fill the grooves with spackle, as well as any nail holes. Sand it smooth, then sand any gloss off the paneling. Clean with Krud Kutter. Seal with Kilz. Most paint stores will tint it close to matching the paint color you want, saving you paint and money. Remember that the glossier the paint, the more light will reflect off of imperfections. I've painted cheap, dark paneling a light cream that looked great.
